ARTICLE I Club Headquaters  The offical team headquarters shall be in Virginia Beach, VA.

 ARTICLE II  Team Name
The official name shall be Coastal Racing.

ARTICLE III Club Membership

Membership shall be open to any individual who shares in the common purpose of Coastal Racing. Membership shall be granter without discrimination upon basis of race, creed, color, religion, age, sex, national origin, and physical or mental handicap.

ARTICLE IV Club Officers

Five officers shall comprise the Coastal Racing Executive Board. Terms of office are from January 1 until December 31 of the calendar year. The offices are:

Administrator presides over meetings and club events.

At Large-Cycling represents the cycling community and updates members on all cycling news.

Secretary is responsible for keeping accurate minutes at officer meetings. Keeps a current roster of team members.

Treasurer collects club dues, pays club debts, and accounts for finances with a monthly report.

At-Large Triathlon represents Coastal Racing for all media inquiries. Represents the triathlon/duathlon community and updates members on all triathlon news.

ARTICLE V Executive Board Meetings

Executive Board meetings shall be held each month. Dates and times of Executive Board meetings and agenda items are to be published in the team newsletter. Special meetings may be called by the Administrator and seven current team members who petition the Executive Board in writing. All Executive Board meetings are open to the membership. The Executive Board can appoint committees as needed for team business or activities. There must be three Executive Board members present to have a quorum.

ARTICLE VI Team Meetings

Team meetings shall be held four times per year. Dates, times, and location are to be published in the club e-newsletter.

ARTICLE VII Team Elections

The Administrator shall establish a nominating committee at the September Executive Board meeting. The nominating committee shall consist of one Executive Board member and one current team member at large. The committee shall ask for nominations. The committee shall prepare a slate of officers for presentation at the November meeting and request final nominations from the membership. ARTICLE VIII Amendments to the Constitution

Proposed amendments will be recommended by the Executive Committee, and shall be posted in the team newsletter fifteen days before the next club meeting. Amendments shall be voted on by the team membership at a regularly scheduled meeting.

ARTICLE IIX  Purpose

The organization is a non-profit, multi-sport racing club encompassing athletes from a multitude of endeavors. Our mission is to provide athletes an outlet to grow their athletic desires in a positive atmosphere. Members belong, socialize, train, and compete while fostering friendships and meaningful social contact. The organization is organized exclusively for charitable and educational purposes under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

ARTICLE IX  Conflict of Interest

The organization and it’s officers shall avoid instances of conflict of interest when determining transactions or arrangements that may benefit the private interests of any officer(s) of the club. This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations

ARTICLE XI Miscellaneous

This constitution shall comply with applicable state and federal regulations.
